These Terms of Service (“Terms”) govern your access to and use of the social media automation and scheduling services provided by Semesterkur UG (haftungsbeschränkt) (“we,” “us,” or “our”) through our website postmaschine.com (including all subdomains) and related applications (collectively, the “Service”). By registering for an account, accessing the Service, or using any part of it, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

These Terms form a legally binding contract between you (or the entity you represent) and us. You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Our Privacy Policy supplements these Terms and details how we handle your personal data.

1. Services Provided

The Service is a Software as a Service (SaaS) platform that allows users to automate, schedule, and publish content on social media platforms, including but not limited to Facebook, Instagram, LinkedIn, Google Business, Twitter/X, TikTok, YouTube, Mastodon, and Bluesky. To use these features, you must connect your social media accounts via API keys or authentication tokens, granting us limited access to post and schedule content on your behalf.

Key features include:

  • Content creation and scheduling tools.
  • Analytics and performance tracking for scheduled posts.
  • Integration with third-party services like Publer for core scheduling functionality.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, for maintenance, security, or other reasons. We will endeavor to provide advance notice where feasible.

2. Account Registration and Security

To access the full Service, you must create an account by providing accurate information, including your name, email address, and payment details (if applicable). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] of any unauthorized use.

We may suspend or terminate your account if we suspect violation of these Terms, fraud, or illegal activity. You may terminate your account at any time by contacting us.

3. User Obligations and Prohibited Conduct

You agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws, including intellectual property rights and data protection regulations (e.g., GDPR).
  • Provide accurate, complete, and up-to-date information.
  • Ensure that any content you upload, schedule, or publish via the Service (including company data, images, or text) does not infringe third-party rights, contain malware, or violate platform policies.
  • Obtain necessary consents for any personal data included in your content.
  • Comply with the terms of service of connected social media platforms.

You may not:

  • Reverse engineer, decompile, or attempt to derive the source code of the Service.
  • Use the Service to spam, harass, or engage in deceptive practices.
  • Access the Service using automated means (e.g., bots) without our permission.
  • Share your account credentials or transfer your account to others.

We may remove or refuse to distribute any content that violates these Terms.

4. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by us or our licensors and protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription.

You retain ownership of your content uploaded to the Service. By using the Service, you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process your content solely to provide and improve the Service (e.g., scheduling via Publer). This license ends when you delete your content or terminate your account.

We may use anonymized usage data for analytics and service improvements, as described in our Privacy Policy.

5. Payment and Subscriptions

The Service is offered on a subscription basis with free and paid plans. Pricing and features are detailed on our website. All fees are non-refundable except as required by law.

Payments are processed via Stripe.com. You authorize us to charge your payment method for renewals. Subscriptions auto-renew monthly or annually unless canceled. You may upgrade or downgrade plans, effective at the end of the current billing cycle.

Late payments may result in suspension of the Service. You are responsible for all taxes applicable to your use.

6. Third-Party Services and Integrations

The Service integrates with third-party providers, including:

  • Publer for scheduling.
  • Cloudflare for hosting and security.
  • Stripe for payments.
  • OAuth providers like Google, Apple, and GitHub for authentication.
  • Hetzner and Backblaze for infrastructure.
  • Posthog and Axiom for analytics and logging.

Your use of these integrations is subject to their respective terms and policies. We are not liable for their performance or data handling.

When you connect social media accounts, you authorize us to access them via APIs. You are responsible for revoking access if needed.

7. Termination

You may terminate your subscription at any time via your account settings or by emailing [email protected]. Upon termination:

  • Paid subscriptions end at the billing cycle’s close.
  • We will delete your data as outlined in our Privacy Policy.

We may terminate or suspend your access immediately for breach of these Terms, with notice where possible. Sections surviving termination include payment obligations, intellectual property, liability, and governing law.

8. Warranties and Liability

The Service is provided “as is” without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose. We do not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law, our liability is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or data loss.

You indemnify us against claims arising from your content, use of the Service, or violations of these Terms.

9. Data Protection

Our collection and processing of personal data is governed by our Privacy Policy, incorporated herein by reference. By using the Service, you consent to such processing as described.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Cologne, Germany.

11. Changes to These Terms

We may update these Terms to reflect changes in our Service or legal requirements. We will notify you via email or in-app notice at least 30 days before changes take effect (except for minor clarifications). Continued use after changes constitutes acceptance. 12. Miscellaneous

These Terms constitute the entire agreement. If any provision is invalid, the remainder remains effective. No waiver of any term is a continuing waiver. We may assign these Terms; you may not without our consent.
